By accessing or using the PassPoint Global platform ("Platform"), including our website, mobile applications, and related services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our Platform.

3. User Accounts & Registration

To access certain features of our Platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 13 years of age to create an account

4. Services & Subscriptions

PassPoint Global offers various services including:

• Exam Preparation Courses: PRE-IELTS, PRE-TOEFL, PRE-GRE, PRE-GMAT, PRE-SAT, WAEC, NECO, JAMB, NABTEB, and more
• Visa Interview Coaching: Student, Work, Tourist, Business, and other visa types
• Language Training: German, Chinese, Russian, Czech, and other international languages
• CAC Registration Services: Business Name (BN), Limited Liability (LTD), NGO/Trustees registration
• Business Directory: Listing and promotion for businesses (paid plans)
• Digital Products: E-books, templates, and downloadable resources

Subscription Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods

5. Payments & Refunds

All payments are processed securely through Paystack. By making a payment, you agree to our payment terms:

• Digital Products: All sales of digital products are final. No refunds will be issued once the product has been delivered.
• Exam Preparation Courses: Refunds available within 7 days of purchase if less than 20% of course content has been accessed.
• CAC Registration Services: Refunds available only if application has not been submitted to CAC. Service fees are non-refundable once processing has begun.
• Business Directory Listings: No refunds for annual listing fees once the business is published.
• Consultation Services: Cancellations require 24 hours notice. No-shows forfeit the consultation fee.

6. Intellectual Property

All content, materials, and resources provided by PassPoint Global are the exclusive property of PassPoint Global or its licensors. This includes but is not limited to:

• Course materials, videos, and study guides
• Software, applications, and digital platforms
• Trademarks, logos, and brand assets
• Website design and content

You are granted a non-exclusive, non-transferable license to access and use our services for your personal, non-commercial use. You may not:

• Reproduce, distribute, or modify any content without written permission
• Share your account access with others
• Use our materials for commercial purposes without authorization

7. Business Directory Terms

Businesses listed in our directory agree to:

• Provide accurate and truthful business information
• Maintain ethical business practices
• Respond promptly to customer inquiries
• Pay the applicable listing fees (₦10,000/year for Basic, ₦25,000/year for Featured, ₦50,000/year for Premium)

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the service for any illegal or unauthorized purpose
• Attempting to circumvent our payment systems or obtain services without payment
• Uploading malicious content, viruses, or code designed to harm the Platform
• Attempting to reverse-engineer, exploit, or damage the Platform's infrastructure
• Harassing, threatening, or abusing other users or our staff
• Sharing or redistributing course materials without authorization
• Impersonating another person or entity

9. Limitation of Liability

To the maximum extent permitted by law, PassPoint Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our Platform
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Platform
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform

10. Termination

PassPoint Global reserves the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason. Upon termination, your right to use the Platform will immediately cease.

11. Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or for other operational reasons. We will notify users of any material changes via email or through our Platform. Your continued use of the Platform after any changes indicates your acceptance of the revised terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delta State, Nigeria.
